Terms of Use

Last updated: 18.10.2026

These Terms of Use ("Terms") govern your use of Socialist (the "Service"), a platform that uses artificial intelligence to generate social media marketing content for businesses. By accessing, creating an account on, or otherwise using the Service, you agree to be bound by these Terms in full. If you do not agree, do not use the Service.

1. Description of the Service

Socialist helps businesses manage their social media presence. The Service uses artificial intelligence models (including third-party AI providers) to generate draft content — captions, images, and video — based on the business profile you provide.

Every piece of content the Service generates is a draft only and is never published without your approval. The Service requires a human approval step: the business owner (or an authorized user on the account) must review and approve, edit, or reject each item before it is considered approved for use. Actual publishing of approved content is initiated by the client: either manually, or — where the client has chosen to connect their business Facebook/Instagram accounts to the Service (as described in Section 15 of the Privacy Policy) — via a client-initiated publish action from within the Service to the connected accounts, or by automatic publishing at a time the client set, only for an item the client approved and explicitly chose to publish automatically (the schedule can be cancelled until it publishes). In every case, no content is published without the client's explicit approval and deliberate choice.

We reserve the right to add, change, or remove Service capabilities (including additional publishing capabilities) at any time, subject to reasonable notice for material changes.

2. Eligibility and Account Registration

The Service is intended for business use only, by users aged 18 or older acting on behalf of a lawful business. By registering, you represent that you have the legal capacity to enter into this agreement and that the information you provide is accurate.

Sign-in is passwordless — via a one-time code sent to your email address, or via Google sign-in. You are responsible for safeguarding access to your account and for all activity under it. Notify us immediately of any unauthorized use of your account.

We may suspend or terminate an account that violates these Terms — including in cases of fraud, abuse, prohibited content, impersonation, harm to the security of the Service, or non-payment — at our reasonable discretion and, where practicable, following notice.

You may delete your account at any time from your account settings (if you have an active paid subscription — after cancelling it). Upon deletion, your data and media are deleted as described in our Privacy Policy. The accounting documents (receipts) for payments you made are issued and kept by the payment provider Cardcom, as required by law.

3. User Content and License

In using the Service you upload materials ("User Content") — including photos, video, text, business details, and at times photos or video in which people appear (such as you, your staff, or your customers). You represent and warrant that you own or otherwise hold all rights necessary in the User Content you upload, including copyright in photos and video, and that you hold every consent required by law from any individual who appears in User Content you upload to use their image, likeness, and voice within the Service — including their editing, alteration, and animation by artificial intelligence as described in this section (and including for the staff feature described in Section 4 below). Where an individual appearing in User Content is a minor, that consent must be given by their parent or legal guardian.

You grant us a non-exclusive, worldwide, royalty-free license, for the duration of your use of the Service, to use, reproduce, process, edit, adapt, modify, create derivative works from, and display User Content solely to provide the Service to you — including submitting it to AI models (ours or third-party providers listed in our Privacy Policy) to generate marketing content for your business.

AI treatment of uploaded content, including the people in it: to produce content, the Service may use any User Content you upload — including photos and video in which people appear — as material for AI generation and editing: for example, retouching a photo or restyling it into a different visual language, recomposing it or placing its subject in a new scene or setting, generating new frames from it, and turning a photo into a moving video clip. An output may therefore show a person who appears in your User Content differently from the original (pose, motion, expression, setting, lighting, or style). Every such output is a draft that is never published without your approval (Section 5); before approving it, you are responsible for verifying that it is not misleading and does not harm the dignity, privacy, or reputation of anyone who appears in it. Generating video in which a person appears to speak (talking-avatar content) is never done on the basis of this section — it requires the separate consent described in Section 4.

Ownership of content the Service generates and that you approve ("Approved Content") belongs to you, subject to the underlying rights of AI providers in the technology itself and their terms of use. You are solely responsible for ensuring Approved Content complies with all applicable law, including intellectual property, privacy, and publicity law, before publishing it.

4. Staff in Your Content (Character Profile)

The staff feature is separate from the general AI treatment of uploaded content described in Section 3: it lets the Service cast a specific person, from reference photos, into new scenes consistently across content.

The Service offers an optional feature where, only with your explicit, documented consent, photos of a person (e.g. the business owner or a staff member) may be uploaded so that the person appears consistently in content generated for the business. The photos are used as reference images: with each generation they are sent to the AI model producing the image or video, so the person is depicted faithfully. We do not train a personalized AI model on the photos, and we do not create or keep such a model.

This feature is only activated after explicit consent is captured in the Service interface. At any time, on the staff page in your account, you can pause a person's appearance in content, remove one of their photos, or delete them entirely — deletion also removes their photos from the Service — as described in our Privacy Policy.

Uploading a photo of anyone other than yourself requires that you hold that person's explicit consent to use their likeness for this purpose — full responsibility for this rests with you.

The Service also offers a separate, more sensitive feature ("talking-avatar content"), where a real photo of a person is used to generate video in which that person appears to speak, using AI-synthesized speech synchronized to their face. Given the heightened sensitivity of this feature, it requires its own explicit, separately-documented consent captured in the Service interface, in addition to the consent described above — it is never activated on the basis of the general appearance consent alone. This consent may be withdrawn at any time, independently of the ordinary appearance consent.

AI presenter: in videos with a content creator (at your request, or when the Service includes one in a video it suits) the Service may create — at your choice, or when no team member has agreed to appear and talk — a presenter character generated entirely by artificial intelligence, who is not a real person. The presenter talks about the business, is never presented as its owner, staff or customer and never tells a personal experience; such content is marked to you as AI-generated, and a disclosure line is added to its caption. If you change the content so that the presenter appears to be a real person, a team member or a customer, or remove the disclosure line, you are solely responsible for doing so.

5. Content Approval and Client Responsibility Before Publishing

The Service's outputs are generated automatically by artificial intelligence models and may therefore contain inaccuracies, factual errors, or unsuitable phrasing — and do not constitute legal, financial, marketing, or other professional advice. The Service also offers auxiliary recommendations (such as posting times, hashtags, and shoot ideas), which are suggestions only and not binding.

Consistent with the Service's design, all AI-generated content is presented to you as a draft only. Full and sole responsibility for reviewing, approving, editing, or rejecting content, and for verifying its factual accuracy, its compliance with the relevant social platforms' policies, and its compliance with all applicable law (including advertising, consumer protection, intellectual property, and defamation law) rests with you alone, as the approver and the actual publisher of the content.

We bear no liability for content you publish, even if generated through the Service, where that content was published only after your approval.

You will indemnify us for any reasonable damage and expense (including reasonable legal fees) we incur due to a third-party claim arising from User Content you uploaded or Approved Content you published — including a claim by a person who appears in it regarding their image, likeness, privacy, or publicity rights — provided we notify you of the claim within a reasonable time and allow you to defend against it.

6. Acceptable Use

You may not use the Service to generate content that violates law, including misleading, discriminatory, or abusive content, content that constitutes defamation, content that infringes a third party's intellectual property rights, or content promoting unlawful activity.

You may not use the Service to create content that depicts a real person in a false, humiliating, sexual, or misleading way; that presents a person as saying or endorsing something they did not say or endorse; or that presents a person as a customer, employee, or testimonial when they are not.

You may not attempt to circumvent technical limitations of the Service (including quota and rate limits), reverse-engineer it, systematically extract models or data from it (scraping), access it by automated means other than the interfaces intended for that purpose, or use it in a manner likely to impair its availability or security for other users.

7. Subscriptions, Billing, and Cancellation

The Service is offered in several tiers (including a limited free tier and paid monthly subscription tiers with a monthly content allowance), as well as one-time purchases (such as video packs). Prices are stated in New Israeli Shekels (₪), include VAT where applicable, and are published on the Service's pricing page. A price change for an existing subscription takes effect only from the next billing cycle, following prior notice.

Introductory prices: the first businesses to join a paid subscription, while spots remain as shown on the pricing page, keep the introductory monthly price — for each tier, as published when they joined — for as long as the subscription continues without interruption, including through tier changes and during repeated charge attempts. The price shown is the final price payable throughout. The end of the subscription (a cancellation taking effect, or cancellation after failed charges) ends the introductory price, and re-joining is priced at the prices in effect at that time. A business may hold one spot only.

Welcome gift: a business that opens the payment page to join a paid subscription within 36 hours of the first content created in the account (or before any content is created) receives, once, free reels according to the chosen tier: Basic — 1 reel, Pro — 2, Business — 3. Gift reels are added to the account balance, do not expire, cannot be exchanged for cash or refunded, and do not include a free regeneration of the video (light edits such as caption or narration remain). The gift is given once per business and does not apply to tier changes on an existing subscription.

Payment is processed by the payment provider Cardcom on a secure payment page. A paid subscription is an ongoing transaction renewing monthly: when you subscribe, and with your consent shown on the payment page, a secure charge token is stored to automatically charge the subscription fee each month on the monthly renewal date. The monthly charge day follows the day you subscribed, by the Israeli calendar (subscribing on the 29th, 30th, or 31st sets the charge day to the 28th, so the charge day exists in every month), and the monthly content allowance renews when the charge actually succeeds; your personal renewal date is shown in your account. An accounting document (receipt) is issued for every charge, sent to you and available in the billing history in your account.

Cancelling a subscription (ongoing transaction) — per Israel's Consumer Protection Law, 5741-1981, you may cancel your subscription at any time, in any of the following ways: (a) on the subscription page in your account — cancellation takes effect at the end of the paid billing period (no further charge is made, everything you paid for remains available until the period ends, and you can undo the cancellation until then); (b) via the dedicated "Cancel subscription" link at the bottom of the site's pages; (c) via the contact page; (d) by email to socialistil2026@gmail.com. A cancellation notice sent outside your account should state your full name, the account's email address, and the business name, so we can locate the subscription. The next charge stops within 3 business days of receiving the cancellation notice (or 6 business days if sent by registered mail). Because the monthly content package is supplied and made available at the start of each billing period, cancellation does not entitle you to a refund for the current billing period or for unused allowances — your subscription and everything you paid for remain available until the end of the paid period. Nothing here derogates from any right that cannot be waived under applicable law.

One-time purchases (such as video packs) grant a usage balance in your account. A one-time purchase may be cancelled per the law governing distance-selling transactions, as long as the purchased balance has not been used; once content has been generated under the purchase, the service is considered provided. The detailed policy (including the scope of video regenerations included with each purchase type) is clearly displayed at the time of purchase.

For clarity, the Service provides access to the production of digital assets — content that can be downloaded, recorded, and reproduced. Under the Consumer Protection Law, the distance-selling cancellation right does not apply to "information" as defined in the Computers Law, 5755-1995; generating or downloading content in the Service constitutes beginning of use of the digital product and opening its "digital packaging", and therefore no refund is given for the portion of the subscription, allowances, or credits actually used.

Failed monthly charges: if the monthly subscription charge fails, we retry daily and notify you. Until payment is settled, creating new content and making further purchases in the account are paused — but you can still view, approve, and publish content already generated, update your payment method, or cancel the subscription. Prolonged repeated failure or a final decline of the payment method results in cancellation of the subscription.

A tier change (upgrade or downgrade) takes effect immediately: at the time of the change, the full monthly price of the new tier is charged (with a stored payment method — after your confirmation; otherwise via a payment page), the new tier's allowances replace the previous tier's, and the monthly charge date resets to one month from the change date. No credit or refund is given for the remainder of the previous tier's period, so it is recommended to change tiers close to the monthly renewal date.

8. Service Availability and Limitation of Liability

We use reasonable efforts to keep the Service available and functioning, but we cannot guarantee uninterrupted or error-free availability. The Service is provided "as is", without warranties of any kind, to the maximum extent permitted by law.

Please note that AI-generated content may resemble content generated for other businesses by the same models or AI providers, and we cannot guarantee the absolute uniqueness of outputs.

To the maximum extent permitted by law, our total liability to you for any claim related to the Service is limited to the total amounts you actually paid us in the 12 months preceding the event giving rise to the claim. Nothing in this limitation reduces liability that cannot be limited or excluded under applicable law.

9. Intellectual Property

All rights in the Service itself — including its code, design, branding, logo, and underlying technology — belong to us or our licensors. Nothing in these Terms grants you any right in them beyond the limited right to use the Service itself.

10. Changes to These Terms

We may update these Terms from time to time. A material change takes effect once an updated version is published on the Service, with the "last updated" date at the top of this document revised accordingly. Continued use of the Service after a change is published constitutes acceptance of the updated Terms.

11. Governing Law and Jurisdiction

These Terms are governed solely by the laws of the State of Israel. Exclusive jurisdiction over any dispute relating to the Service or these Terms lies with the competent courts of Tel Aviv–Jaffa.

12. Service Details and Contact

The Service is operated under the Socialist brand. Questions about these Terms of Use, inquiries, or complaints can be directed to us via the Service's contact page or by email to socialistil2026@gmail.com. We aim to respond within one business day.
